These Terms of Service (“Terms”) govern your access to and use of Reely (“Reely”, “we”, “us”), including the Reely macOS application, command-line tool, and website at getreely.co. By purchasing, downloading, or using Reely, you agree to these Terms.

1. License

Reely is licensed, not sold. Using the Reely application, command-line tool, and agent integrations to create, edit, render, or export videos requires a valid Reely license. Reely does not currently offer a free tier or trial.

An active subscription gives you a non-exclusive, non-transferable license to use Reely, including its editor, command-line and agent tools, rendering, export, and the updates available under your plan. Grandfathered perpetual licenses remain valid according to the terms under which they were purchased.

2. Permitted use

You may use Reely to produce videos of software you own or are authorized to demonstrate, for personal or commercial purposes. You retain all rights to the videos you create with Reely.

Reely uses a license key tied to a limited number of machine activations. Activation stores a machine identifier to enforce the activation limit. You may deactivate a machine to free a slot for another.

5. Subscriptions & payments

Monthly and annual subscriptions renew automatically at the price and interval shown at checkout until cancelled. You may cancel future renewals at any time and keep access until the end of the paid billing period. Payments are processed by Lemon Squeezy, our Merchant of Record, who handles payment, invoicing, and applicable taxes. Your purchase is also subject to Lemon Squeezy’s terms. Refunds are governed by our Refund Policy.

6. Reely Honor Offer

The Reely Honor Offer lets a monthly subscriber who says they shared Reely on social pay for two months and receive a third month at no additional charge. We do not require proof or condition the offer on positive sentiment. The offer may be claimed once per customer, may not be combined with another promotion, and renews at the standard monthly price after the promotional period unless cancelled.

7. Intellectual property

Reely, its source code, design, and trademarks remain our property. These Terms grant you a license to use Reely; they do not transfer any ownership.

8. Disclaimer of warranties

Reely is provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We do not warrant that Reely will be error-free or uninterrupted.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid for Reely.

10. Termination

We may suspend or terminate your license if you breach these Terms. On termination you must stop using Reely and delete all copies.

11. Changes

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Continued use after changes constitutes acceptance.
